MEMORANDUM OF UNDERSTANDING
BETWEEN
KINGSTON UNIVERSITY
AND
SHNGHAI INSTITUTE OF FOREIGN TRADE
In order to strengthen mutually beneficial relations, Kingston University and Shanghai Institute of Foreign Trade join in the following agreement on education co-operation.
The two institutions will endeavor to co-operate in education, research and enterprise in the spirit of mutual interest. Within fields that are mutually acceptable, the following general forms of mutual co-operation will be pursued.
Collaboration between academic programmes of the two institutions in accordance with arrangements to be defined in due course.
1. Exchange of academic staff for the purpose of research and teaching.
2. Exchange of students for Study Abroad programmes.
3. Exchange of information including but not limited to exchange of library materials and research publications.
4. Joint research activities, if possible also in collaboration with UK or XXXXX Industries.
Each institution is prepared to consider additional proposals for mutual co-operation. By discussion between the parties, alterations and additions may be made to the present agreement.
The persons engaged in exchange programmes and or joint research activities under this agreement shall be nominated by the sending institution and approved by the receiving institution and will comply with the conditions agreed by participating institutions for the duration of the exchange and/or research collaboration.
This agreement comes into force as soon as it has been signed by the two institutions. The agreement will remain in effect for an initial period of three (3) years or until one party gives 3 months written notice to the other. Both institutions will review the terms of the Memorandum 12 months before the expiry of the three-year term with a view to negotiating a further agreement on terms acceptable to both.
This agreement has been made in the English language in two identical copies, one for each institution.

* This Memorandum records the understanding between the Parties and is not intended by the Parties to be a legally binding document and shall not be enforceable in any court of law. Legally binding written agreements between the Parties will be prepared and signed as and when required to cover the specific activities anticipated by this Memorandum. Notwithstanding other clauses in this Memorandum, the Institutions will not carry out any action that is likely to damage the reputation of either Institution and will act in the interests of the Students affected by this Memorandum. Nothing in the Memorandum shall create or be construed as creating joint venture, a contract of employment or relationship of employer and employee, or a relationship of principal and agent between the Parties.

金斯頓大學(xué)與上海對(duì)外貿(mào)易學(xué)院合作備忘錄
為增進(jìn)雙方互利互惠關(guān)系，金斯頓大學(xué)與上海對(duì)外貿(mào)易學(xué)院達(dá)成下列教育合作協(xié)議。
雙方將本著互利精神致力于教育、研究及企業(yè)領(lǐng)域的合作。在雙方都能接受的領(lǐng)域內(nèi)，將采取下列相互合作的方式。
適時(shí)安排雙方學(xué)術(shù)項(xiàng)目的合作。
1、互換師資，提高教學(xué)與科研水平。
2、互換留學(xué)生，開展海外留學(xué)項(xiàng)目
3、交換信息，包括但不限于交換圖書資料和研究出版物。
4、開展合作研究活動(dòng)，如果可能的話，也可以跟英國或中國相關(guān)產(chǎn)業(yè)合作。
雙方可隨時(shí)提出其他一些有關(guān)相互合作的建議。通過協(xié)商，雙方可以對(duì)目前協(xié)議的相關(guān)條款做一些修改和增加。
根據(jù)本協(xié)議，參與交流項(xiàng)目和/或合作研究活動(dòng)的人員應(yīng)由派遣方提名并得到接收方認(rèn)可，同時(shí)在交流期和/或研究合作期內(nèi)要嚴(yán)格遵守雙方約定的各項(xiàng)條款。
本協(xié)議一經(jīng)雙方簽署當(dāng)即生效。該協(xié)議將持續(xù)生效三年或者若終止協(xié)議一方需提前三個(gè)月以書面形式通知另一方。雙方應(yīng)于該為期三年的協(xié)議終止前12個(gè)月重審本備忘錄的條款，以便就雙方都接受的事宜協(xié)商進(jìn)一步的合作協(xié)議。

*本備忘錄記錄了雙方的合作事宜，并非雙方達(dá)成的具有法律效力的文件，故不能訴諸于任何法律。當(dāng)需要保障該備忘錄中所預(yù)期的具體活動(dòng)時(shí)，雙方將準(zhǔn)備并簽署具有法律效力的協(xié)議。盡管本備忘錄中存在其他條款，雙方將不得采取任何有可能損害任一方聲譽(yù)的行動(dòng)而要從該備忘錄所涉及學(xué)生的利益出發(fā)。本備忘錄中沒有任何條款將創(chuàng)建或者被理解為創(chuàng)建合資企業(yè)、聘用合同或雙方間雇傭與被雇傭關(guān)系、或負(fù)責(zé)人與代理人關(guān)系。
